JOB PURPOSE:
This role provides legal and secretarial support to PLI Group in Europe Middle East and Africa (EMEA); keeps, amongst others, the regional Legal function for EMEA apprised of legal matters in the assigned region; supports in carrying out projects as requested, efficiently uses external counsel resources (where required). The role collaborates with other members of the Group Legal and Company Secretariat and other supporting functions (such as Finance, HR, Tax & Treasury) as well as operating and business divisions (including Supply Chain, Sales, Operations) of the Company.
This position provides support in the management of legal, compliance and corporate secretarial matters within EMEA in all 13 limited liability companies, 2 branch offices and 4 blending plants.
KEY ACCOUNTABILITIES:
1.To assist in providing support in all legal matters in the assigned region and function(s); Support the day-to-day legal requirements of the region, regional functional heads, and local/country managers of such assigned region;
2.To support end-to-end contract lifecycle activities, including the drafting, review and negotiation of contracts as well as templates, revisions, approvals and filing;;
3.To maintain and update contract repositories and legal documentation archives;
4.To liaise with external counsel in an efficient and cost effective manner;
5.On a consistent basis, keep, amongst others, the regional Legal function apprised of all significant matters and developments and consult as appropriate;
6.Understand and implement the Company’s relevant internal governance and reporting requirements;
7.When appropriate, refer matters to, and work in collaboration with other members of the Group Legal and Company Secretariat;
8.Draft, review, negotiate and advise on operational, technology, commercial and supply chain related agreements, including master service agreements, supply agreements, subcontractor agreements, confidentiality agreements, as well as advise on risk-related issues in connection with contracts;
9.Monitor the litigation matters in all of the countries in the assigned region;
10.Monitor the legal and secretarial budget in all of the countries in the assigned region; and
11.Assist in implementing Group compliance programmes, including Data Privacy, Competition Law, Export Control, Sanctions, and Ethics & Integrity;
12.From time to time, assist the Department with corporate transactions, new company or office/branch startups, acquisitions or divestitures, and shareholder/equity offerings.
Qualifications & Education:
· Minimum Degree in Legal and/or further internationally-recognized professional qualifications.
· Abovementioned Degree with a post qualification experience of approximately three (3) to five (5) years.
Skills/ Experience/ Knowledge:
· LLB Qualification from a Qualified University with a post qualification experience of approximately three (3) to five (5) years.
· Admission to the bar is a plus
· In-house experience preferably gained in a multi-national business environment
· Fluent in Italian and English
· Experience in corporate law, litigation and secretarial work
