Greenvolt is looking for a Legal Specialist to join our team. The selected candidate will be responsible for ensuring full legal compliance and corporate governance across the Greenvolt Power Group companies in Italy, including managing corporate and commercial legal matters related to the development of renewable energy projects, supporting daily operations, and coordinating with internal and external stakeholders.
Responsibilities
Corporate matters
* Drafting of minutes of general assemblies of management board and shareholders, decisions and resolutions of the company’s bodies;
* Maintaining book of minutes of the management board;
* Keeping all the public registers for all the companies up to date, including the court registry and the ultimate beneficial owners’ registry;
* Supervising and coordinating the day-to-day administration of all companies within the Greenvolt Power Group in Italy, i.e.: maintaining up to date internal registers, ledgers and graphic charts of members of management boards and shareholders;
* Taking care of the correspondence to and from the companies;
* Taking care of any additional matters related to legal assistance to the companies.
Commercial matters
* Providing legal opinions or preparation of any necessary commercial contracts for all the companies within Greenvolt Power Group in Italy related to development of renewable energy projects (Wind, Solar, BEES), including among others real estate matters, development matters, procurement matters, etc.;
* Contacting public administration, if required;
* Coordinating all legal due diligence processes carried out by the companies within the Greenvolt Power Group in Italy;
* Drafting, reviewing, and negotiating a wide range of real estate contracts and deeds (e.g. sale and purchase, easement rights deeds, etc.), commercial contracts (e.g. supply agreements, service agreements, framework agreements, and partnership agreements) and M&A agreements (SPA, APA, JVA, etc) and other documents related with the aforementioned ones;
* Providing legal advice and support on matters pertaining to Italian civil law, commercial law and administrative law;
* Preparing legal communications, reports, and presentations for internal and external use;
* Upkeeping relationships with notaries and other third parties, when required;
* Maintaining and updating the legal agenda, including monitoring deadlines for legal proceedings, corporate obligations, and contractual commitment;
* Developing and applying necessary systems that ensure the companies comply with all applicable legal and statutory requirements; as well as implementing of all the Group internal procedures, policies and practices.
Qualifications
* Master’s degree in law with lawyer / legal adviser apprenticeship finalized.
* 3 to 5 years of working experience in a law firm or as in-house counsel with a focus on contract law, civil law, and commercial law.
* Very good knowledge of corporate and transactional law.
* Good knowledge of energy and administrative law regulations;
* Strong understanding of the renewable energy sector;
* Experience in drafting and reviewing legal documents;
* Experience in interpreting legislation into practical application;
* Procurement knowledge on EPC, BOP, BOS, TSA, PV supply contracts, and all related ancillary agreements.
* Excellent knowledge of the Italian and English language;
* Good interpersonal, communication, public speaking and negotiation skills;
* Ability to work under pressure and meet deadlines;
* Ability to travel, if needed.
* Good time management skills and ability to organize, multitask, prioritize;
* Natural leader who displays sound judgment and attention to detail.
