TheCorporate Governance Manager will report directly to the Assistant General Counsel and is responsible for maintaining the group’s corporate governance framework, ensuring compliance with UK listing rules, Bermuda legal and regulatory requirements and international best practices. This role is pivotal in supporting the Board of Directors, executive leadership and stakeholders in maintaining the highest standards of corporate governance.
Minimum Qualifications:
* Degree level education with legal or chartered secretary qualification i.e. ICSA / CDI qualification preferred
* Minimum 5 years corporate secretarial experience at a senior level
Experience, Skills & Abilities:
* Strong knowledge of UK Corporate Governance, including the UK Corporate Governance Code, and relevant listing and disclosure rules
* Strong knowledge of the Bermuda Companies Act 1981 and related corporate legislation and regulations.
* In-depth knowledge of the risk, compliance and governance aspects of the Bermuda insurance regulatory environment under the Insurance Act 1978, related regulations and guidance would be advantageous.
* Thorough understanding of directors' roles, duties and responsibilities.
* Proficiency in Microsoft Office Suite and familiarity with governance and compliance software and portals such as Boardvantage
* High level of integrity and discretion in handling confidential information
Duties:
* Maintain the corporate governance framework including policies, processes, terms or reference and governance procedures
* Organize and coordinate board, committee, and executive management meetings, including agenda preparation, material distribution, minute-taking and action point management
* Facilitating the proper induction of directors, including education, training and ongoing professional development to ensure governance best practices are upheld
* Oversee corporate administration service providers ensuring compliance with vendor due diligence.
* Collaborate with internal teams to ensure that the Group's website is kept up to date in compliance with law, regulation and best practice
* Ensure timely filing of documents at the FCA (UK) and the Registrar of Companies in Bermuda and maintain the statutory books for all group companies, including collaboration with external corporate services providers in compliance with applicable law and regulation.
* Contribute to external reporting and disclosure processes, including regulatory filings, compliance reporting, press releases, and play a leading role in the production of annual reports.
* Collaborate with the General Counsel, Assistant General Counsel, Executive Chair and Committee Chairpersons in:
* Applying the board's governance policies and procedures.
* Preparing for and helping to carry out Board & Committee performance evaluations.
* Assist with the governance aspects of the Group's Environmental, Social and Governance initiatives, including the Conduit Foundation.
