BASIC PURPOSE OF THE JOB
As Group Corporate Affairs Specialist, he/she will be responsible for providing legal advice and support on a wide range of corporate and business issues.
Main Responsibilities
Working under the supervision of the Group Corporate Affairs Manager, he/she will participate and support in both ordinary and extraordinary corporate operations of the Group, providing legal guidance and advice to management and other departments on a wide range of corporate legal matters affecting the business, in particular:
- Oversee and provide support for establishment and dissolution of branches, subsidiaries, joint-ventures, capital increase or decrease and other extraordinary transactions (such as mergers, demergers, acquisitions, transfer of business units) and amendment to the corporate governance structure and Board composition of Group entities
- Assist in responding to corporate governance request from the Group, including drafting and reviewing board materials and minutes, shareholder resolutions, maintaining and ensuring the update of corporate records
- Provide support for corporate governance and regulatory filings across the organization
- Support in the preparation of the main periodical reports and governance fulfilments/procedures (management of Insider Trading List, Related Party Registe)
- Advise various departments and management on corporate legal matters including management of legal entities, national and cross-border ventures, corporate investments
- Draft, review, and negotiate letters of intent, agreements and other legal documents in the field of corporate investments (e.g. joint-ventures, acquisitions, divestments)
Proactively manage the internal corporate governance platform and support its maintenance by involved internal stakeholders
- Manage corporate contracts lifecycle (negotiation, conclusion, follow-up of execution, renewal, termination) in compliance with applicable laws, regulations, and internal policies
- Working closely with the Group Compliance & Risk Manager for the definition and implementation of the architecture of delegation of powers (including HSE structure) and its maintenance in compliance with the Group’s policies
- Conduct legal research and stay updated on relevant laws, regulations and best practices in his/her scope of responsibility Assess and manage legal risks associated with business operations and transactions in his/her scope of responsibility
Background & Principal Skills Required
- Solid knowledge of corporate law and contract law
- Proficiency in legal research and drafting
- Collaborative team player with strong autonomy

- Excellent business sense and problem-solving approach
- Strong attention to details and precision in legal drafting and contract management
- Ability to work effectively under tight deadlines and to handle multiple projects with different deadlines simultaneously
- Organizational and planning skills
- Curiosity and eagerness to learn
- In an international context, capacity to raise the relevant legal questions and to adapt fast to a wide range of different national regulations
- Familiarity with standard financial concepts of corporate finance
- Knowledge of corporate governance of listed companies is appreciated
- Familiarity with cross-border operations for companies with global operations will be considered a plus
- At least 3⁄5 years of experience in corporate law, acquired in law / notary firms or structured corporate groups
- “nice-to-have” experience with listed entities
- Master’s Degree in Law and admission to the Italian Bar
- Outstanding written and verbal communication abilities both in Italian and English
