Ph3Senior Legal Counsel – Italy (DHR Dx) /h3 pThe Senior Legal Counsel in Italy will provide legal advice, guidance, direction, and assistance across a wide range of legal and compliance matters. This role primarily supports the DHR Dx Platform companies (Beckman Coulter, Cepheid, Radiometer, Leica Biosystems) and Beckman Coulter Life Sciences, serving as lead counsel for Italy. The role reports to the Deputy Regional Counsel DHR Dx, Europe and is based on-site. /p h3Key Responsibilities /h3 h3Commercial Contracting Agreements /h3 ul liDraft, review, negotiate, and update a broad range of commercial agreements, including sale, rental of equipment, service provision, distribution, cooperation, and other commercial contracts. /li liReview and negotiate third‑party provided commercial agreements and consult with business on relevant legal risks. /li liDraft, review, and update standard agreements. /li liSupport public tender processes, including drafting RTI agreements, legal support in reviewing tender documentation, and advising on public procurement legislation. /li /ul h3Regulatory Compliance Advisory /h3 ul liAssist Quality and Regulatory Affairs with regulatory law support. /li liTrack the latest developments in EU legislation (including cybersecurity/NIS 2, sustainability, AI Act, and related areas), monitor their interaction with Italian law, and drive their implementation across the DHR Dx OpCos in Italy. /li liActively participate in relevant industry organizations (e.g. Confindustria Dispositivi Medici) and maintain professional networks to stay current on industry and regulatory developments. /li liSupport legal work in emerging and new areas such as sustainability, digital and software contracting, new technologies, and AI. /li /ul h3Corporate Governance 231 Model Sustainment /h3 ul liManage corporate governance matters, including board member appointments, preparation and review of powers of attorney (PoAs), board resolutions, statutory auditor communications, and coordination with external corporate counsel. /li liSupport 231 Model compliance, including periodic review and updating of relevant documents, tracking organizational changes and reflecting them in corporate documents, and monitoring and updating issued powers of attorney. /li /ul h3Litigation Dispute Management /h3 ul liManage and advise on disputes and litigation in collaboration with OpCo General Counsels and the Danaher Chief Litigation Officer. /li liCoordinate litigation matters with external legal counsel, actively tracking the status of proceedings, discussing legal positions with external counsel, and managing litigation expenses. /li /ul h3Training Education /h3 ul liConduct legal training and education as deemed necessary or appropriate for the business. /li liPrepare and deliver compliance training materials, including training on the Italian Sunshine Act and HCP engagement policies. /li /ul h3Compliance Program /h3 ul liSupport the Compliance Program, implementing planned activities such as policy and procedure management, leading training, conducting monitoring, and directing investigations. /li liPromote use of the Compliance Hotline, awareness of the Code of Conduct, and understanding of new and existing compliance issues and related policies and procedures. /li liMonitor and report results of compliance/ethics efforts and provide guidance to associates on compliance matters. /li /ul h3Qualifications /h3 ul liQualified to practice law in Italy. /li li8 or more years of practice, preferably from an international law firm or equivalent in‑house experience, ideally a combination of both, in the Life Sciences, Medical Device or Pharmaceutical industry. /li liKnowledge and understanding of compliance programs, including data protection laws, health‑related regulations, HCP interactions and compliance approval of HCP events. /li liExperience managing and prioritizing multiple concurrent projects and regular transparent reporting on progress. /li liProficiency in English, both written and spoken, enabling effective communication in a multinational and multicultural environment. /li /ul h3Preferred Qualifications /h3 ul liExperience working in a multinational company headquartered outside the EU, supporting geographically dispersed teams. /li liProficiency in additional European languages, especially Spanish and Portuguese, and qualification to practice law outside of Italy. /li liExperience in a dynamic and fast‑paced multicultural business environment. /li /ul /p #J-18808-Ljbffr
