Our client, an international metal company, is seeking a highly motivated Corporate Affairs Specialist.
He/she will play a critical role in developing and executing the company's corporate, government affairs, and communications strategy.
This role reports directly to the Chief Legal Officer and requires close, cross-functional collaboration with functional managers.
Key Responsibilities
* Convening and managing corporate bodies: Board of Directors, shareholders' meetings, committees.
* Drafting and minute‐taking: minutes, board/committee resolutions, reports by corporate bodies, attestations.
* Updating bylaws, internal regulations, and procedures (e.g., board/committee rules of procedure, related‐party transaction policy).
* Managing delegations of authority and signing powers: powers of attorney, corporate signature, authority matrix, authorized signatories, revocations.
* Statutory books and corporate records: shareholders' register, resolutions books, board/committee minute books, archiving and retention.
* Support to oversight bodies: Board of Statutory Auditors/External Auditor (Collegio Sindacale/Revisore), Supervisory Body under Legislative Decree 231/2001 (OdV 231).
* Legislative Decree 231/2001 compliance: Model 231, risk governance, coordination with OdV, updates and training.
* Equity capital market transactions: capital increases (including exclusion of pre‐emptive rights), warrants, equity plans.
* Cross‐border reorganizations: secondary offices/branches, apostilles/legalizations.
* Mapping and designing corporate governance processes (corporate calendar, checklists, etc.)
* Coordination with notaries, accountants, and external advisors.
Requirements
The position requires a Master's Degree in Law and at least 3–5 years of experience in the Corporate Law field. Knowledge of Corporate Law and Legislative Decree 231/2001 is needed.
Professional proficiency in both English (B2/C1) and Italian is required.
Location: Genoa, with frequent business trips to Piombino.
Salary package: will be defined based on actual experience and current compensation, with an indicative range between €40,000 and €45,000.
