RadiciGroup and DOMO Engineered Materials are now part of a new industrial group under the ownership of Lone Star Funds. This new structure combines RadiciGroup’s High Performance Polymers and Specialty Chemicals business areas with DOMO’s engineered Materials activities, creating a broader, internationally integrated industrial group.
Within the Group Legal & Compliance Department, headed by the General Counsel, the Group is looking for a Head of Legal.
The role will lead the Legal team, with responsibility covering both RadiciGroup and DOMO, ensuring the seamless legal integration and corporate governance of the two organizations.
Responsibilities
* Coordinate corporate governance and corporate housekeeping activities for the for Group entities in multiple jurisdictions, including preparation and organization of Board of Directors’ and Shareholders’ meetings and resolutions, corporate registrations and filings, powers of attorney and delegation of authority, while advising stakeholders on governance best practices.
* Design and execute corporate restructuring operations (mergers, demergers, simplifications) to drive the legal integration and alignment of RadiciGroup and DOMO.
* Provide legal support on extraordinary transactions, joint ventures, and partnerships, driving legal due diligence and negotiating complex transaction documents (SPA, SHA, NDA) alongside finance teams and external advisors.
* Oversee the drafting, negotiation, and risk mitigation of complex global commercial agreements (procurement, supply, distribution, IP) to support day-to-day business units worldwide.
* Manage and supervise litigations and disputes, coordinating and interfacing with external law firms;
* Provide high-level advise on corporate law matters to top management and core corporate functions.
Skills And Competences
* Deep expertise in international corporate law and corporate governance, for large, multi-entity multinational groups;
* Solid experience in managing post-merger corporate reorganizations, entity integrations, and cross-border M&A transactions;
* Strong background in drafting and negotiating international commercial contracts in industrial sectors;
Qualification
* Degree in Law; admission to the Bar is highly preferred;
* Previous experience (10+ years) in corporate legal roles within structured multinational companies or international law firms, with at least 2-3 years in a managerial or team-coordination role;
* Fluency in English (both written and spoken) is mandatory;

Salary range for the position: 90.000 - 120.000 € (the salary will be commensurate with experience and seniority)
