Primary Purpose of Role
EU Commercial Counsel – high performing senior commercial legal counsel with significant expertise in contract negotiation and drafting, outstanding attention to detail and deep business understanding, able to operate with a high degree of autonomy as a legal business partner and with a proactive approach to integrating legal strategy with business objectives.
Key Responsibilities
- Drafting, reviewing, and negotiating high-value or complex commercial agreements (including LoIs, MoU, sales, procurement, services, distribution and development agreements) collaborating with business teams to align legal strategy with commercial goals.
- Drafting commercial and legal correspondence and settlement agreements in connection with pre-judicial disputes with customers and suppliers and handling such disputes.
- Serving as a primary legal contact point and providing advice for day-by-day legal, corporate, regulatory, compliance and operational matters (including M&A;, IP, environmental, anti-bribery, privacy / GDPR, etc.) across European regions identifying and mitigating legal risks and developing and implementing policies.
- Handling civil, criminal and administrative litigation.
- Managing and coordinating outside legal counsel.

Experience & Qualifications
- 8-10 PQE EU jurisdiction qualified lawyer, with prior experience as an in-house counsel.
- Proven experience in, and strong knowledge of, corporate and commercial law, legal compliance and IP.
- Strong contract drafting and negotiation, communication, analytical and problem-solving skills.
- Deep understanding of the company's industry, operations, and strategic goals.
- Strong interpersonal and cross-cultural communication skills.
- Experience with corporate governance and cross-border legal entity management.
- Proactive, solution-oriented mindset in an international, fast-paced environment.
- English and further EU language proficiency are a must.
Scope Factors
- Highly technical and complex position: The candidate will be a senior attorney supporting Allison's legal team, the Allison Off Highway business unit, and the EMEA region.
- A successful candidate will increase Allison's internal legal skillset and reduce reliance on outside support, both domestically and abroad, while at the same time reducing the company's overall liability risk portfolio for commercial matters.
- The successful candidate will be required to collaborate closely with Allison's legal team, leadership, and work with internal business stakeholders, both domestic and global, on sensitive and complicated commercial matters. xlwpduy
